The article primarily deals with defining the theoretical framework, on the basis of which it is possible to reliably determine the manner, scope and consequences of the application of the Civil Code or civil law regulations to commercial relations. It mainly concerns the understanding of the stability of the nature of commercial law relations and the impact of the application of the Civil Code on this stability, as well as the significance of Section 1 paragraph 2 of the Commercial Code for the content and scope of the application of the Civil Code to commercial relations. Based on this, attention is drawn to the areas where the lack of a proper theoretical foundation is most pronounced. In commercial contractual relations, it involves the application of contractual types regulated only in the Civil Code and the related application of general obligations (e.g., prescription). Another problem is the dual regime of non-contractual (tort) liability for damage in commercial law (civil law, commercial law) based on the localization of the violated obligation in the particular legal provision. This results in unjustified fragmentation of tort liability in commercial relations.
